Effective date: August 6, 2026. These terms are a contract between you and Ropes and Stanchions LLC d/b/a Black Market Concepts (“BMC,” “Reserv’d,” “we”) governing the Reserv’d app and blackmarketconcepts.com (together, the “Platform”). By creating an account, RSVPing, buying a ticket, or using the Platform, you agree to these terms and our Privacy Policy.

01What Reserv'd is — and isn't

Reserv'd is a software platform. We list events, take RSVPs, sell tickets on behalf of the venues and event organizers who run them (“Curators”), and operate a membership program. We are not a venue, an event operator, a security company, or a seller or server of alcohol. Every event on the Platform is organized, staffed, and operated by its Curator, who is solely responsible for the event, the premises, admission decisions, and compliance with all laws, including alcohol laws.

02Eligibility — you must be 18+

The Platform features nightlife events where alcohol is served. By creating an account you represent that you are at least 18 years old. Events are 21+ unless the venue states otherwise. We do not verify age — age verification happens at the venue door and is solely the venue's responsibility. A ticket or RSVP never guarantees admission to a person who cannot satisfy the door's age and ID requirements, and no refund is owed for denial of entry on age or ID grounds.

03Assumption of risk

Nightlife carries inherent risks — crowded spaces, loud sound, low light, alcohol service, and the conduct of other patrons. You attend events at your own risk. To the fullest extent permitted by law, you release BMC from claims arising out of or relating to your attendance at any event, including claims based on the acts or omissions of Curators, venues, their staff, or other attendees.

04Tickets, fees, and refunds

(a) Service fee: paid tickets carry a service fee, shown at checkout before you pay: $1.99 plus 5% of the ticket price on tickets of $15.00 or less, and $2.99 plus 5% on tickets above $15.00. If the venue cancels the event, we refund the service fee in full. Otherwise the service fee is non-refundable, except where required by law. Free RSVPs never carry a fee.

(b) Sales tax: where the law requires it, sales or admissions tax is added to your order and shown to you before you pay. Tax is calculated on where the event physically takes place, not on where you are — a ticket to an Orlando event carries Orlando’s rate wherever you buy it. Tax is not part of the service fee and is not our revenue: we collect it and pay it to the taxing authority. What is included in the taxable amount is set by that state’s law and can differ from state to state, so the total shown at checkout is what governs. If you receive a refund, any tax collected on the refunded amount is refunded with it.

(c) Refunds: ticket prices are set by Curators and, unless the event page says otherwise, all sales are final. If a Curator cancels an event, the ticket price and the service fee will both be refunded to your original payment method. Refund decisions for non-canceled events belong to the Curator.

(d) Walk-up door charges paid through the Platform at an event are final at the moment of entry; errors are corrected at the door by the Curator.

(e) Crypto payments are refunded, when refundable, in USD value at the time of the original charge, to a wallet you designate; network fees are yours.

(f) Chargebacks: disputing a charge you authorized, after attending an event, is grounds for account termination.

05Membership, cards, and check-ins

Your member card, number, and standing are features of the Platform, not property. Check-in records are created when your ticket is scanned or your door charge is claimed. You agree we may share with a Curator the membership information relevant to their own events and venue (as described in the Privacy Policy) — Curators may not export or resell it.

06Points and rewards

Points, tiers, perks, and redemption codes are promotional. They have no cash value, are non-transferable, may expire, and may be adjusted, revoked, or discontinued by the issuing Curator or BMC at any time, including for suspected fraud or abuse. Perks are fulfilled by Curators at their venues; BMC is not responsible for a Curator's failure to honor a perk.

07Table and service requests

A table, bottle-service, or similar request submitted through the Platform is an inquiry transmitted to the venue — not a reservation. No booking exists until the venue confirms directly, and all fulfillment is the venue's responsibility.

08Subscriptions

If you purchase a paid membership, the price, billing frequency, and renewal terms are shown before checkout; it renews automatically until canceled, and you can cancel online at any time through the billing portal, effective at the end of the current period. We will notify you before any price increase.

09Your content

If you upload content (photos, comments, profile material), you grant BMC a non-exclusive, royalty-free license to host and display it on the Platform. You represent you have the rights to what you upload, including the consent of identifiable people in photos. If you appear in a photo and want it removed, use the in-app report tool or email us — we remove reported likeness content promptly.

10Copyright (DMCA)

We respond to copyright notices under 17 U.S.C. §512. Send notices to the agent listed on our website. Repeat infringers' accounts are terminated.

11Acceptable use and termination

No fraud, no ticket resale at markup where prohibited, no scraping, no harassment of members, Curators, or staff, no interference with door systems. We may suspend or terminate accounts that violate these terms; you may delete your account at any time in Settings.

12Disclaimers and limitation of liability

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, BMC'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE PLATFORM OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID BMC IN THE 12 MONTHS BEFORE THE CLAIM AND (B) $100. BMC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR THE ACTS OR OMISSIONS OF CURATORS, VENUES, OR OTHER MEMBERS. Some jurisdictions do not allow certain limitations; these apply to the maximum extent permitted.

13Indemnity

You will indemnify BMC against claims arising from your violation of these terms, your content, or your conduct at events.

14Governing law; disputes

These terms are governed by Texas law. Disputes will be resolved in the state or federal courts of Harris County, Texas, and you consent to their jurisdiction.

15App Store

The app is licensed, not sold, to you. Apple is not a party to these terms and has no obligation to provide support or address claims relating to the app.

16Changes
