Design Services Terms

These terms govern design services ordered from Ropes and Stanchions LLC d/b/a Black Market Concepts (“BMC,” “the desk”) through the Design Terminal app, our website, or by email.

1. How an order forms

Filing a brief (in the app or otherwise) is a request, not a purchase. No order exists, and no payment is owed, until BMC confirms your project — including the final price, scope, and delivery estimate — by email or invoice (“Confirmation”). Prices and turnaround times shown in the app or on the website are typical figures for standard scope and may be adjusted in Confirmation for scope, complexity, or rush.

2. Payment

Payment is invoiced and collected outside the app. Unless Confirmation says otherwise: 50% is due before work begins and the balance before final files are released. Work paused for nonpayment resumes when the account is current.

3. Turnaround and delivery

Delivery estimates run from Confirmation and receipt of everything we need from you (content, images, approvals), not from when you file a brief. Final files are delivered by email or download link in the formats stated in Confirmation.

4. Ownership of the work

(a) Deliverables. Upon full payment, BMC assigns to you all right, title, and interest, including copyright, in the final delivered design (the “Final Deliverable”). Until full payment, BMC retains all rights and the Final Deliverable may not be used.

(b) Logos and brand marks. For logo and brand-identity projects, the assignment in (a) is total: on full payment the mark is yours alone — you may register it as a trademark, and BMC will not reuse, resell, or adapt it for anyone else.

(c) What stays ours. Drafts, rejected concepts, working files (unless purchased separately), and BMC’s pre-existing tools, techniques, and template frameworks are not assigned. Third-party materials (stock assets, licensed fonts) pass to you under their own licenses, which we will identify on request.

(d) Portfolio. BMC retains a perpetual, non-exclusive right to display the Final Deliverable in its portfolio and marketing (website, app galleries, social media), including for logo work. If a project is confidential, tell us before Confirmation and we will exclude it in writing.

(e) Formalities. These terms, your Confirmation, and payment records together are intended to satisfy the written-assignment requirement of 17 U.S.C. §204(a).

5. Your materials — warranty and indemnity

You warrant that everything you upload or send us — logos, photographs, images, text, fonts — is yours to use or properly licensed for the project, including any people or property appearing in photographs. You will indemnify and hold BMC harmless from claims arising from materials you supplied. BMC may decline or halt any project whose materials appear infringing, unlawful, or misrepresented.

6. Revisions

Confirmation states the included revision rounds (two, unless stated otherwise). Additional rounds or scope changes are quoted before work continues.

7. Cancellation

Cancel before work begins for a full refund of amounts paid. After work begins, amounts paid are earned to the extent of work performed, and no further balance is owed for work not performed.

8. No guarantee of outcome

Design is creative work. BMC warrants professional-quality execution of the confirmed scope; it does not warrant business results, and — for logo projects — does not warrant that a mark is registrable or non-infringing (trademark clearance is your responsibility; we can refer you to counsel).

9. General

Texas law governs; venue Harris County, Texas. If any term is unenforceable the rest stand. These terms plus your Confirmation are the whole agreement for a project.
